PROGRESSO SOUPER YOU CONTEST VOTING RULES

NO PURCHASE NECESSARY. YOU MUST BE 18 YEARS OF AGE OR OLDER TO PARTICIPATE.

RULE 1. ELIGIBILITY AND HOW TO VOTE. To vote, go to www.Progresso.com/SouperYou from 12:00AM CST on March 29, 2010 to 11:59PM CST on April 12, 2010 to view the essays and photos of the ten contest Finalists and vote for the Finalist you feel best meets the contest judging criteria of creativity, incorporation of the Progresso Soup brand, humor and inspiration. Follow the online instructions for voting. Voting limited to one vote per person per email address per day.

RULE 2. PRIZE The three (3) Progresso Souper You finalists receiving the most votes at the end of the voting period will each receive a Grand Prize of a trip for two to New York City. Retail value of each Grand Prize is approximately $5000. Three prizes will be awarded. Any tie between finalists will be broken using a random drawing. No prizes will be awarded to voters.

RULE 3. VOTING RESULTS The voting ends on April 12, 2010 at 11:59PM CST. The names of the three Progresso Souper You finalists receiving the most votes will be posted on or about May 3, 2010 at www.Progresso.com/SouperYou.

RULE 4. CONDITIONS OF PARTICIPATION By participating, you agree to these rules and the decisions of the judges, which shall be final and legally binding in all matters relating to this voting. General Mills reserves the right, in its sole discretion, to modify, cancel or suspend part or all of this voting should virus, bugs, non-authorized human intervention or other causes beyond the control of General Mills corrupt or impair the administration, security, fairness or proper play of the vote. If cancelled or terminated early, General Mills will determine the winner by tallying the votes that General Mills, in its sole discretion, finds to be valid at the time of termination or cancellation. If suspended, General Mills will determine the winner by tallying the votes that General Mills, in its sole discretion, finds to be valid at the time of suspension and the votes accumulated when voting resumes. General Mills is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by General Mills, participants, or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion. General Mills may prohibit a participant from taking part in the vote or disqualify a participant’s vote if, in its sole discretion, it determines that said participant is attempting to undermine the legitimate operation of the Vote by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, or threaten any other participant or General Mills representatives. Void where prohibited and subject to federal, state and local laws.

WHAT IS THE CONTEST?

The Progresso Souper YouTM Contest invites people to share why they love Progresso Light or 100 Calorie Soups and why they deserve a fashion makeover.

WHAT CAN I WIN? Grand Prize

Three (3) of the ten (10) selected Finalists will be selected as Grand Prize Winners. Each Grand Prize winner will be awarded a trip for two (2) to New York City. The trip includes roundtrip airfare for two from major airport nearest winner’s home to New York City, NY, one double occupancy hotel room for two nights, and $1000 cash card. In addition, the winner will receive a full fashion makeover by Louis Licari’s team including; hair, makeup, and nails. Additionally, each winner will receive a personal shopping consultation at Barney’s New York department store. Cash card subject to separate terms and conditions from cash card provider. Ground transportation, meals, gratuities and other incidental expenses are not included. Approximate value of each Grand Prize is $5,000.

Finalist Prizes

Seven (7) Selected Finalists will each be awarded a $100 cash card. Cash card subject to separate terms and conditions from cash card provider. Approximate value of each Finalist prize is $100.

All contest prizes are not transferable, except at the sole discretion of General Mills. Each Finalist is eligible to win only one prize. All taxes and other expenses, if any, are the sole responsibility of the winners. Grand Prize winner travel must be completed between May 21st – 23rd, 2010 or prize will be forfeited and an alternate Grand Prize winner will be selected from the remaining Finalists. This contest is void where prohibited or otherwise regulated. All federal, state and local laws apply.

WHO CAN ENTER?

You are eligible if you are 18 years of age or older as of January 4, 2009, and are a legal United States resident residing in one of the 50 United States or District of Columbia during the competition.

You are not eligible to enter and will be disqualified if:

  • You are an employee of General Mills, Archway/SkyBridge Marketing Services, or any of their respective parents, subsidiaries and affiliated companies, or a member of the immediate family (parent, children, siblings, spouse, regardless of where they live) or same household of such employees (whether related or not).
HOW DO I ENTER?

In 200 characters or less, submit a short essay and photo of yourself telling us why you love Progresso Soup and why you deserve a fashion makeover.

Online entry only. Go to www.Progressosoup.com/SouperYou and register to become a member of progresso.com (or log on if you are already a member) and submit your essay (200 characters or less) sharing your opinions about Progresso Soups and why you deserve a fashion makeover, using the online entry form and filling in all requested information completely. In addition, submit a photo of yourself that visually reinforces the theme of their essay. Only complete entries containing both essay and photo will be eligible. By completing the registration and submitting your photo, you agree that your entry conforms to the Photo Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may decide not to post or may remove your photo and disqualify you from the Contest if it believes, in its sole discretion, that your photo or essay fails to conform to the Guidelines and Restrictions. All electronic entries must be received between 12:00 a.m. on January 4, 2010 and 11:59 p.m. on March 15, 2010 (central time). Each electronic entry should be submitted only once. Use of automated processes and devices to submit electronic entries are not permitted. Contest Sponsors are not responsible for any changes or effects caused to the entrant's computer system as a result of submitting electronic entries. Limit one entry per person.

Photo Guidelines:
  • The photo must be in.jpg images format;
  • The photo must not exceed 5mb in size;
  • The photo cannot have been submitted previously in a promotion of any kind or exhibited or displayed publicly through any means previously.
Content Restrictions:
  • The photo must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • The photo must not contain brand names or trademarks other than that of Progresso;
  • The photo must not contain images or artwork not created by entrant;
  • The photo must not contain material that is inappropriate, indecent, illegal, pornographic, obscene, vulgar, profane, violent, threatening, harassing, hateful, tortuous, defamatory, slanderous or libelous;
  • The photo must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • The photo must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where the video is created; and
  • The photo must not transmit anything that contains viruses or anything else that’s harmful.

Only entries submitted via the website electronic form will be accepted. Entries submitted via any other method, including but not limited to U.S. Postal Service, facsimile or other express delivery services will NOT be accepted. Contest sponsors and their promotion agencies are not responsible for lost, late, misdirected or otherwise undeliverable mail, or entries that cannot be processed due to phone, network, electronic or computer hardware or software failure, or technical failures of any kind, whether caused by Contest Sponsors, entrants or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion. General Mills reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the contest or website or violates the Official Rules. In the case of duplicate recipes, the first entry received will be judged. By submitting your entry, you accept all contest rules and agree to be bound by the decisions of the judges, which will be final. You also agree that your entry becomes the sole property of Sponsors and Sponsors reserve the right to edit, adapt, copyright, publish, transfer and use it, in any and all media without compensation. General Mills reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest should virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such case, General Mills will select the winner from all eligible entries received prior to and/or after (if appropriate) the action taken by General Mills.

HOW WILL ENTRIES BE JUDGED?

All entries must meet the contest requirements. Entries must be created by the contestant. Initial judging of the essay/photo submissions will be conducted by an independent judging organization based on the following criteria:

  • Creativity
  • Incorporation of Progresso Soup brand (in essay or picture)
  • Humor
  • Inspiration

Ten Finalist entries will be selected from all eligible entries received in late March, 2010. Consumers will be invited to go online at www.Progressosoup.com/SouperYou from March 29, 2010 at 12:00am, 2010 through April 12, 2010 at 11:59pm to view the ten Finalist essays and photos and vote for the Finalist they feel best meets contest judging criteria of creativity, incorporation of Progresso Soup brand, humor, and inspiration. The three (3) Finalists receiving the most consumer votes will each receive a Grand Prize.

WHAT HAPPENS IF I WIN?

If you are one of the ten (10) selected Finalists you will be notified on or about March 23th, 2010 via e-mail. Grand Prize winners will be notified on or about April 21, 2010. Finalists will be required to sign an affidavit of eligibility and a liability release/assignment of rights and return within forty eight (48) hours of receipt of notification. Any Finalist who does not comply with this requirement, cannot be easily located at the e-mail address provided may forfeit prize and an alternate Finalist may be selected. Except where prohibited by law, each Finalist will be required to sign a release giving General Mills and its nominees full rights to use the Finalist's name, likeness, image and voice for Contest related advertising and publicity, including such usage on the Internet. Grand Prize winners and their travel companions will be required to sign an affidavit of eligibility, assignment of rights and a liability and promotional release and return it within seventy two (72) hours of notification. After accepting prize, the Grand Prize winners will not be eligible to win another Grand Prize in the three subsequent Progresso Souper YouTM contests. General Mills reserves the right to cancel this promotion at its sole discretion. Winners will be posted on the Internet at www.Progressosoup.com/SouperYou following the competition.
